Senior Legal Counsel

As Senior Legal Counsel, you will provide comprehensive legal support to the company and its management, with a strong focus on commercial contracts, corporate and employment law, legal risk management and financing-related matters.
You will work closely with management, internal teams, Group companies and external legal advisers, helping the business identify legal risks early and find practical, commercially viable solutions.
Responsibilities
• Draft, review and negotiate a wide range of commercial agreements, including construction, subcontracting, supply, purchase and sale, and services agreements.
• Provide legal support throughout the implementation of agreements and address legal matters arising during their execution.
• Manage pre-litigation disputes, claims and other contentious matters, coordinating external legal counsel where necessary.
• Advise the management and business on corporate law matters and support the preparation and administration of internal corporate documents.
• Provide legal advice on employment matters, including employment relationships, employment agreements, their amendment and termination, internal policies and other employee-related legal matters.
• Identify and manage employment-related legal risks, claims, disputes and other conflict situations.
• Advise management on compliance, legal risks, regulatory changes, claims, litigation and other legal matters.
• Support financing transactions related to the development and construction of solar PV projects and battery storage projects.
• Review and negotiate financing agreements, including loan agreements and facility agreements.
• Prepare corporate approvals and other required authorisations related to financing transactions.
• Draft and review financing-related documentation, including security agreements, subordination agreements, assignment agreements and other related documents.
• Coordinate external legal advisers and support the selection and management of external counsel where required.
• Cooperate with Group companies and colleagues across different jurisdictions.
• Proactively identify legal and business risks and propose practical solutions for their management.

• Master’s degree in Law.
• At least 5 years of relevant hands-on legal experience, particularly in contract, corporate and employment law.
• Strong practical experience drafting, reviewing and negotiating commercial contracts.
• Good knowledge of corporate and employment law and practical experience handling related legal matters.
• Experience working independently on legal matters, with the ability to quickly understand complex situations, identify risks and propose practical solutions.
• Strong analytical skills and a proactive approach to legal risk management.
• High level of responsibility, accuracy and attention to detail.
• Ability to understand the wider business context and provide solutions that are not only legally sound but also commercially and practically workable.
• Fluent Lithuanian and English.
• Experience with financing transactions, including loan agreements, facility agreements or bond issuance agreements, would be a strong advantage.
• Experience combining in-house legal advisory work with external corporate legal practice would be an advantage.
• Experience in energy or construction law would be an advantage.
