Conditions of Use

CONDITIONS OF USE

1. General

1.1. These conditions of use (Conditions of use) shall regulate the use of web medium www.cvmarket.lt , www.cvmarket.lv and www.cvkeskus.ee (Web medium). Web medium shall be constituted by whatsoever documents (among others pictures, videos etc.), available through domain cvmarket.lt, cvmarket.lv or cvkeskus.ee or their sub-domains, and by databases necessary for use of the Web medium.
1.2. Conditions of use are available within Web medium under address https://www.cvmarket.lt/agreements.php.
1.3. Web medium’s owner and administrator is CV Keskus OÜ filialas (register code: 302581055; location: Ozo g. 12A, city of Vilnius, 08200; phone: +370 5 2190032; e-mail: info@cvmarket.lt; here in after: CV Keskus OU filialas).
1.4. User of Web medium (User) is every person, who uses Web medium.
1.5. In the context of Conditions of use, the usage of Web medium is downloading, opening or processing in any other way of whatsoever document constituting Web medium.
1.6. The prerequisite of the use of Web medium is consenting to the Conditions of use. If User does not consent to the Conditions of use, the User shall have no right to use Web medium. User shall only have the right to use Web medium in conformity with Conditions of use.
1.7. When proceeding to use Web medium, User concludes an agreement (Agreement) with  CV Keskus OU filialas, the conditions whereof are contained in the Conditions of use.
1.8.  CV Keskus OU filialas offers to User through Web medium different services (Services). In case User and  CV Keskus OU filialas agree on additional conditions for using a Service, the Conditions of use shall regulate the use of the Service insofar as they are not in contradiction with additional conditions.

2. Web medium and its use

2.1. Web medium enables the User to obtain information on job offers and CVs and other information related to employment. User shall also have the right to publish in the Web medium his or her CV, job seeking advertisement or a job offer.
2.2. Use of Web medium is free to the User, unless otherwise agreed in Conditions of use or conditions of Service. The amount of the fee payable for charged Services shall be agreed in the Agreement; absent the agreement on a fee, the price list published in the Web medium shall apply. In case of charged Services the User’s obligation to pay the fee shall arise from the moment that the Service is ordered. The User shall be obligated to fully pay for the Service and  CV Keskus OU filialas shall not return the paid fee even if the User decides to stop using the Service either partially or fully.
2.3.  CV Keskus OU filialas shall have the right to change the price list from time to time without tendering a notice by publishing a new price list in Web medium.
2.4. Given the obligation to pay the fee User shall undertake to pay the fee by the deadline specified on the invoice presented by  CV Keskus OU filialas. Absent the payment deadline on invoice, the fee shall be paid within seven (7) days as from accrual of the obligation to pay. Fee shall be paid in the bank account of  CV Keskus OU filialas specified on invoice, absent thereof in the bank account of  CV Keskus OU filialas specified in Web medium. User shall bear all costs related to payment of the invoice and the service fees. The invoice shall be considered as paid when money is received in bank account of  CV Keskus OU filialas.  CV Keskus OU filialas shall have the right to decline providing the Service until payment of invoice. At delay with payment of invoice User shall pay penalty interest of 0.1% on an outstanding amount for every day in arrears.
2.5. User may only use Web medium for finding a job or an employee for him- or herself. User shall not be permitted, without previous consent of  CV Keskus OU filialas, to use Web medium in whatsoever manner for providing service to a third party, regardless of whether the service is provided for a fee or for free, or to use data acquired from Web medium for a purpose other than provided in the previous sentence.
2.6. Web medium is exclusively a technical solution, through which job seekers can publish their CV or job seeking advertisement and employers their job offer and through which the job seeker can apply for the job offered.  CV Keskus OU filialas shall not participate in negotiations between job seeker and job offeror nor shall it mediate making the employment agreement, nor is  CV Keskus OU filialas party to the agreement to be made, nor will it be responsible for fulfilment of employment agreement made by use of Web medium. The use of Web medium or Services does not guarantee finding for User the job or a suitable employee.
2.7.  CV Keskus OU filialas has not studied the background of any User nor will it give any whatsoever confirmations on correctness of data provided by User or published by User.  CV Keskus OU filialas recommends User should thoroughly study the background of the other party to agreement before making the employment agreement, among others the capacity of the other party to duly fulfil the agreement to be made.
2.8.  CV Keskus OU filialas shall not be responsible for the data or documents entered by User in Web medium. The responsibility for data or documents entered by User and their correctness and legality shall be exclusively born by User. User shall have the right to enter only such data or documents, which are correct and do not infringe on the rights or interests of  CV Keskus OU filialas or any third party.
2.9.  CV Keskus OU filialas shall have the right to remove from Web medium without notice any whatsoever data or documents infringing on the rights or interests of  CV Keskus OU filialas or third parties or which are incompatible with public order or public morals. If  CV Keskus OU filialas has removed data or documents from Web medium, User shall not have the right to re-enter the same data or documents in Web medium, unless  CV Keskus OU filialas grants consent to the effect.
2.10. User shall have the right to use Web medium only with the help of commonly used web browsers (for instance Internet Explorer, Edge, Chrome, Mozilla Firefox, Safari etc.). The User shall not use the Web medium through software or devices that allow automatic inquiries to be made without human participation. Upon violation of this clause  CV Keskus OU filialas shall have the right to demand from every offender a penalty of 10 000 euros for each violation. Every inquiry violating the terms of this clause shall be considered a several (individual) violation.
2.11.  CV Keskus OU filialas may from time to time and without notice change Web medium in whatsoever manner, among others restrict access to User’s data or documents, change the content and scope of Services offered to User, restrict the use of Services etc. However  CV Keskus OU filialas cannot change Web medium so that the content of Services would be altered in its essence.
2.12.  CV Keskus OU filialas shall use its best endeavours, so that Web medium would be constantly available and usable. However  CV Keskus OU filialas shall not be responsible for whatsoever interruptions in work of Web medium or for damage incurred through interruption.

3. User account

3.1. User can register in Web medium a user account.
3.2. User account makes it possible for User to create his or her CV, to apply for jobs offered, to publish job offers and to use other Services, for the use of which a user account is necessary in Web medium.
3.3. For creating User account, User must fill out an application in Web medium and confirm agreement to Conditions of use and as case may be to additional Service conditions. By creating an account for a legal person the person who created the account confirms that he or she has the right to create the account, including that he or she has the right of representation.
3.4. When creating User account, User shall select the username and password. Password can be changed by User in Web medium from time to time. User shall undertake to keep username and password in secret and not to divulge them to third parties. If username or password becomes known to a third party, User shall undertake to promptly notify  CV Keskus OU filialas to the effect.
3.5. User account is meant for use by User only. User shall not be permitted to allow third parties to use the user account or to use the user account for the benefit of a third person (for example it is prohibited to publish a job offer of a third person through User’s user account). User may not transfer the user account to a third person.
3.6.  CV Keskus OU filialas may from time to time demand from User his or her identification in a secure manner, among others by ID card or mobile-ID.
3.7.  CV Keskus OU filialas shall have the right, from time to time to partially or totally suspend the use of user account or delete the user account, if data related to user account is incorrect or if User uses the user account in contradiction to Conditions of use or in a manner, which infringes the rights or interests of a third person or  CV Keskus OU filialas, including if the user account is used in the interest of a third person.
3.8. All actions performed in the Web medium using the user account are deemed to have been performed by the User, except if the User proves that he or she has not performed the action and that usage of the user account by a third person has not become possible as a result of User’s actions or omissions. User is responsible for all actions performed, including damages caused, by using the user account.
3.9. User account enables User to order Services. In case Services are ordered using the User account, it is considered that the Service has been ordered by the User and the rights and obligations related to ordering of Service shall arise to the User.

4. Principles of processing job-seeker’s personal data 

4.1. In the course of providing the Services and enabling the use of Web medium,  CV Keskus OU filialas collects and processes the personal data of the User who is natural person (Job-seeker). Data collected and processed by  CV Keskus OU filialas may include the Job-seeker’s name, date of birth, personal identification code, e-mail address, telephone, home address, any other data describing the Job-seeker and his/her career and all other data related to the use of Web medium and the Services by the Job-seeker (Data). As a result of this,  CV Keskus OU filialas is regarded as the data controller of such Data within the meaning of applicable data protection legislation.  CV Keskus OU filialas processes the Data mainly for the performance of the Agreement concluded with the Job-seeker, the object of which is to intermediate via Web medium Job-seeker’s CV-s to other Users of Services (Employers) and to enable Job-seekers to apply for a job offers.
4.2.  CV Keskus OU filialas processes the Data in compliance with the European principles of data protection – such as lawfulness, fairness, transparency, purpose limitation and data minimization principles etc – and the requirements of applicable laws.  CV Keskus OU filialas considers the Job-seeker’s interest, rights and freedoms to be the priorities when processing the Data. Job-seeker may ask for additional information in relation to how  CV Keskus OU filialas processes and protects their Data from  CV Keskus OU filialas data protection officer via e-mail or telephone published on the Web medium.
4.3. Job-seeker has a right to publish on the Web medium his or her CV, which Data provided therein is made available to Employers according to disclosure level selected by the Job-seeker. In order to provide the Services and pass the Data to Employers,  CV Keskus OU filialas may use automated, including profiling based, processing of the Data.
4.4. CV Keskus OU filialass will pass the Data to Employers pursuant to CV disclosure level selected by him/her:
(i) If Job-seeker selects the CV active and non-confidential status, he/she grants  CV Keskus OU filialas the right to disclose to Employers all Data entered in CV.
(ii) If Job-seeker selects the CV active and confidential status, he/she grants  CV Keskus OU filialas the right to disclose to Employers all Data entered in CV, except for Job-seeker’s photo, job experience and names of those recommending the Job-seeker. Job-seeker allows  CV Keskus OU filialas to process his/her e-mail address inserted in CV in order to allow Employers to contact him/her.
(iii). If Job-seeker has selected the CV passive status, Job-seeker’s Data is not visible to Employers and they cannot make offers to the Job-seeker.
4.5. If Job-seeker submits his/her CV in order to apply for a particular job offer, all the Data entered in the CV shall be transferred to the particular Employer regardless of his/her CV disclosure level. In some cases, the Employers may want to use their own Applicant Tracking Systems (ATS) for conducting the recruitment process of particular job-offer. In this case, by applying to particular job-offer,  CV Keskus OU filialas automatically passes the Data provided in Job-seeker’s CV to such Employer’s ATS interfaced with Web medium.
4.6. If Job-seeker has started filling out CV and has entered his or her Data in the database but has not completed filling out the CV (all obligatory fields are not filled), then the Data shall not be visible to Employers and the Data shall not be provided to them.
4.7. Parties have agreed that  CV Keskus OU filialas has no automatic obligation to transfer the Data to Employers or to third persons. If Job-seeker wishes that  CV Keskus OU filialas transfers the Data to a third person, the User shall submit to  CV Keskus OU filialas a written application to this effect, indicating to whom and what Data the Job-seeker asks  CV Keskus OU filialas to transfer.
4.8. If Job-seeker starts composing CV, but the CV goes unfinished,  CV Keskus OU filialas shall send within seven (7) days as from composing the CV a reminder to Job-seeker, that he/she has an unfinished CV. If Job-seeker does not complete composing the CV within thirty (30) days after the notice has been sent,  CV Keskus OU filialas will send to the Job-seeker a new reminder. If Job-seeker does not complete the CV within thirty (30) days after the last reminder has been sent,  CV Keskus OU filialas will delete the unfinished CV and the Data contained therein.
4.9.  CV Keskus OU filialas processes the Data mainly within European Economic Area and shall not transfer the Data to third countries or international organizations. In case  CV Keskus OU filialas does this, then it guarantees that the Data shall be transferred only to such a third country or international organization that complies with the same data protection requirements that are in essence equal to the level of protection applied in European Economic Area.
4.10. In some cases it is needed to use third persons to process the Data – these persons are called processors. Processors process the Data on behalf of  CV Keskus OU filialas only if it’s necessary for the purposes of Data processing and only on the condition that the processor provides the level of protection of the Data as required by applicable laws.  CV Keskus OU filialass uses mainly the following processors and sub-processors (provided by categories):
(i) Employers, who process the Data in accordance with the requirements provided in Chapter 6 of the Conditions of use.
(ii) IT-services providers, who help  CV Keskus OU filialas to securely store, systemize and in other ways process the Data and guarantee the proper performance and development of the Web medium, including but not limited to Cloud service providers, ATS-service providers, software developers etc.
(iii) Messaging Providers, who help  CV Keskus OU filialass to deliver marketing materials and offers to Job-seekers via e-mails. (iv) other companies belonging to the same group of companies as  CV Keskus OU filialas, in case it is needed for the provision of Services.
4.11. Some Employers may want to use instead of Web medium their own ATS to conduct the recruitment process of particular job-offer. In such case, when applying for particular job offer, the Job-seeker is re-directed to such ATS used by the Employer and the recruitment process shall be entirely conducted within such ATS. Therefore,  CV Keskus OU filialas shall not process the Data provided within such ATS.
4.12 As the Job-seeker may have interest in using  CV Keskus OU filialas Services throughout his/her entire life,  CV Keskus OU filialas shall keep the Data until the Job-seeker closes his/her user account, asks  CV Keskus OU filialas via written application the deletion of his/her Data or until  CV Keskus OU filialas becomes aware of the fact that the Job-seeker is not alive anymore. In such cases CV Keskus shall delete Job-seeker’s Data within one month from the date when such circumstances arise.
4.13. In addition to performing the Agreement concluded with the Job-seeker,  CV Keskus OU filialas processes the Data for the purposes of conducting marketing profiling and sending to the Job-seeker marketing materials and offers. In such cases the legal basis for processing the Data is the consent of the Job-seeker. The Job-seeker providing such consent must be at least 13 years old. In case the Job-seeker is younger than 13 years old, the Job-seeker shall provide to  CV Keskus OU filialas in addition to his/her consent also a written consent from his/her parent or legal guardian. Without providing such consent,  CV Keskus OU filialas shall not conduct marketing profiling nor send any marketing materials and offers to the Job-seeker who is younger than 13 years old. The Job-seeker may at any time to withdraw his/her consent by sending a respective notice to  CV Keskus OU filialas to info@cvmarket.lt. The withdrawal will not affect the Job-seekers rights to use the Web medium and the Services.
4.14.  CV Keskus OU filialas processes the Data also for statistical purposes, in order to analyze the labor market trends and improve its Services. In this case the ground for processing the Data is the legitimate interest of  CV Keskus OU filialas which means the balance between the interests of  CV Keskus OU filialas and rights of the Job-seeker.  CV Keskus OU filialas cannot provide its clients the best and most modern Services and Web medium without making statistics and analyzing the market. Nonetheless, the impact of such Data processing is minimal, as results of such processing is usually impersonalized.
4.15. The Job-seeker may at any time turn to  CV Keskus OU filialas to exercise his/her rights arising from the Conditions of use and applicable laws, including the right:
(i) to request once in a month from  CV Keskus OU filialas an information on persons, who have looked at Job-seeker’s Data;
(ii) to request from  CV Keskus OU filialas information about what Data  CV Keskus OU filialas has about him/her.
(iii) to request the rectification or deletion of the Data in accordance with the Conditions of use;
(iv) on the grounds provided in the applicable law to restrict the processing the Data and to submit objections to processing of the Data;
(v) to submit appeals to Data Protection Inspectorate.
4.16. By consenting to Conditions of use, the Job-seeker grants consent for using cookies by  CV Keskus OU filialas in Web medium for the aim to personalize the Services and contribute to providing better Services to the Job-seeker.

5. Copyrights and other intellectual property

5.1. All copyrights and related rights (among others the rights of database maker) related to Web medium and works published thereon shall belong to  CV Keskus OU filialas.
5.2. User shall assign to  CV Keskus OU filialas free of charge all economic rights to whatsoever data, documents or other works, which he or she would enter in Web medium. User shall warrant that by his entering of data or documents in Web medium no third party copyrights are infringed. Economic rights shall be considered as assigned to  CV Keskus OU filialas by entering the work in Web medium.
5.3. User shall grant to  CV Keskus OU filialas, as regards the matters contained in clause 5.2 the free exclusive license to use User’s personal rights in whatsoever form and manner within context of Copyright Act without geographical limitations for the whole term of validity of copyrights. User shall limit the manner and scope of exercising his personal rights subject to exclusive licence granted under Conditions of use.  CV Keskus OU filialas shall have the right, as regards the User’s personal rights, to grant sub-licences. Exclusive licence shall be considered as granted to  CV Keskus OU filialas by entering the work in Web medium. Exclusive licence granted under Conditions of use shall embrace all further developments of the work. User shall permit, upon need, making in his or her work and User name symbol any whatsoever alterations, adding to his or her work other works, illustrations, comments etc. User shall agree that  CV Keskus OU filialas is not obliged to reflect User name with the work.
5.4. User or third parties shall have no right, without a previous written permit by  CV Keskus OU filialas, to reproduce, disseminate, forward, translate, include in other databases, make extracts from Web medium and its components and use them in whatsoever like manner. User shall undertake not to deliver to third parties whatsoever works, which he or she has received by using Web medium.

6. Conditions of services provided to employers and of processing data by the employer

6.1. Conditions contained in this Chapter will be applied only to agreements, a party to which is a User, willing to publish job offers in the Web medium or use other Services targeted at employers (Employer). It is presumed that the Employer publishes a job offer in the Web medium in connection with carrying out its economic or professional activities.
6.2. While using the Services the Employer undertakes to fulfil all obligations specified in legislation, including to refrain from acts, which might entail discrimination of Job-seekers or in any other way damage the job-seekers’ rights.
6.3. A job offer published in the Web medium by the Employer shall meet the following conditions:
(i) In a single job offer an employee may be searched for just one job or office and in a single location;
(ii) After publishing a job offer the Employer is not allowed to change essential terms of the job offer, especially the title and description of the offered position (except for obvious mistakes);
(iii) The job offer may not include a reference to the possibility of applying for the job offer in any other way than by sending a CV through the Web medium, unless this has been allowed by a written consent of  CV Keskus OU filialas.
6.4. In the course of using the Web medium and the Services by the Employer,  CV Keskus OU filialas passes to the Employer personal data of Job-seeker (Data), which imposes on  CV Keskus OU filialas as data controller and Employer as data processor an obligation to process such Data in accordance with the requirements of Regulation 2016/679 of the European Parliament and of the Council (GDPR) and national data protection legislation (Data Protection Laws). Therefore, as long as the Employer processes Data received from  CV Keskus OU filialas, the Employer shall comply with the following rules:
(i)  CV Keskus OU filialas instructions. The Employer may process the Data only in accordance with the Data Protection Laws, the requirements set out in  CV Keskus OU filialas services agreement, Conditions of use and any other instructions provided by  CV Keskus OU filialas, and shall implement appropriate technical and organisational measures needed to protect the Data from accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to the Data;
(ii) Deletion of Data. Upon the completion of a recruitment project, the Employer shall safely delete all Data received from  CV Keskus OU filialas in the course of this project, except the Data of the candidate that the Customer will use for entering into employment relationship or where the Employer is required or entitled to retain the Data pursuant to the applicable laws or written consent received from the Job-seeker. Unless otherwise provided in the law or in the written consent of the Job-seeker, the Employer shall not retain the Data for any other purposes than set out in the particular recruitment task, e.g. for the purposes of offering different job-position in the organization or storing the Data for the future recruitment projects. Upon the request by  CV Keskus OU filialas the Employer shall provide proof of destruction of the Data;
(iii) International transfers of Data. The Employer should not store and/or transfer the Data outside of European Economic Area without the prior written consent of the Job-seeker, except in cases permitted in the following Clause;
(iv) Sub-processing. The Employer shall not transfer the Data to or involve any third party (including persons belonging to the same group of companies as the Employer) in the processing of the Data without the prior consent of  CV Keskus OU filialas. The consent of  CV Keskus OU filialas is not needed in case the Employer has a written consent from the Job-seeker to transfer its Data to another Employer or in case the Employer transfers the Data to the company providing cloud services or applicant tracking system (ATS) services which according to their data processing conditions voluntarily or pursuant to applicable law abide by the rules of GDPR;
(v) Confidentiality. The Employer shall ensure that all employees and other representatives accessing the Data are aware of the terms of this Agreement and are bound by a commitment of confidentiality;
(vi) Assistance. The Employer shall assist  CV Keskus OU filialas to fulfil all data controller’s obligations arising from GDPR;
(vii) Auditing. Upon the request of  CV Keskus OU filialas, the Employer shall provide all information necessary to demonstrate compliance with the obligations laid down under this Conditions of use and Data Protection Laws;
(viii) Security incidents. The Employer shall immediately contact  CV Keskus OU filialas if there is any personal data breach or incident where the Data may have been compromised. The Employer shall take all reasonable measures and actions necessary to remedy or mitigate the effects of such incident.
6.5. When publishing a job offer in Web medium, CV-s of all users of Web medium, who apply for the job offer, are automatically saved in the account of the Employer. The saved CV-s include Data. Employer has a possibility through its user account to add comments to each CV.  CV Keskus OU filialas does not check which Web medium user’s CV-s and Data are saved in the account of the Employer or which comments have been added by the Employer to the CV. Employer has the option at any time to delete saved CV-s or comments. Employer is responsible for the processing of Data in its user account and is under obligation to ensure the processing of Data in compliance with the Conditions of use and applicable legal acts.  CV Keskus OU filialas shall delete a CV or comment saved in the Employer’s account if it becomes known to  CV Keskus OU filialas that Employer does not process Data included in the particular CV or comment in compliance with the Conditions of use and applicable legal acts.
6.6. Employer shall use the Data only for the purposes of conducting the competition related to the job offer and to the minimal extent needed for establishing such purpose. Employer shall not use the Web medium or Data obtained through it in a manner, which is in contradiction with legislation, even if such use is possible. For instance, the Employer shall not use the Data for discrimination against job seekers based on any characteristics.
6.7. Employer shall undertake to indemnify  CV Keskus OU filialas for any damage and expenses incurred due to the fact that Employer uses Web medium or Data obtained with the help of Web medium in contradiction to these Conditions of use or legislation.
6.8. By agreeing to the Conditions of use the Employer consents:
(i) to the fact that the data processing requirements set out in the current Chapter of the Conditions of use constitute valid and binding data processing agreement between  CV Keskus OU filialas and the Employer in meaning of art 28 of GDPR, except in cases where  CV Keskus OU filialas and the Employer have concluded a separate data processing agreement, in which case the parties shall process the Data in accordance with the terms and conditions of such agreement; and
(ii) to receiving newsletters of  CV Keskus OU filialas;
(iii) to  CV Keskus OU filialas using cookies in Web medium for the aim to personalize the Services and contribute to providing better Services to the Employer.

7. Special conditions applied to providers of job agency service

7.1. Provider of job agency service shall be, within the context of these Conditions of use every person supplying employees to a third party or helping the third party in any other way to recruit employees. Employees acting in the interests of an Employer shall not be considered as Providers of job agency service.
7.2. Provider of job agency service shall have the right to use Web medium only upon previous written consent of  CV Keskus OU filialas and under conditions to be agreed between the parties. 
Unless a separate agreement is concluded and the CV Keskus OU branch provides access to employment agencies, then these Terms of Use apply to them. 
7.3. Provider of job agency service shall be prohibited to use Web medium or Services without consent of  CV Keskus OU filialas even if it is technically possible. In case the Provider of job agency service has ordered a Service and paid for it,  CV Keskus OU filialas has the right to refuse to provide the Service, without refunding the fee paid for the Service.

8. Final clauses

8.1. Both parties shall have the right to terminate the Agreement at any time, by sending respective notice to the other party.
8.2.  CV Keskus OU filialas shall have the right, without notice, to limit or deny the use of Web medium or a Service by the User or to refuse to provide a Service and/or terminate the Agreement, if the User violates the Conditions of use or additional conditions of Service or User’s activity infringes the legal interests of  CV Keskus OU filialas or other Users.
8.3.  CV Keskus OU filialas shall have the right from time to time and without specifying any reason to terminate the Agreement and/or prohibit use of Web medium or deny providing Service or terminate providing Service to any User, with respect to whom  CV Keskus OU filialas has a reasonable doubt that he or she uses Web medium for providing service to a third party without the previous consent of  CV Keskus OU filialas.
8.4. In case  CV Keskus OU filialas terminates the Agreement on grounds stipulated in art. 8.2 or 8.3 or the User terminates the Agreement on grounds stipulated in art 8.1 or 8.7,  CV Keskus OU filialas has no obligation to refund any fees paid by the User, even if no Services have been provided for the fee paid.
8.5.  CV Keskus OU filialas shall have no obligation to conclude an Agreement with an User or to enable the User to use the Web medium or to provide Services to the User.  CV Keskus OU filialas has no obligation to provide any reasoning for declining to conclude an Agreement.
8.6.  CV Keskus OU filialas shall not be responsible for whatsoever damage, incurring to the User or a third party in connection with the use of Web medium or the Agreement, except in cases where the liability of  CV Keskus OU filialas cannot be excluded pursuant to the imperative clauses of applicable law. Insomuch that the liability of  CV Keskus OU filialas cannot be excluded the liability of  CV Keskus OU filialas shall be limited by an amount equal to fifty (50) euros. In case the Service does not conform to the Agreement (including providing the Service is delayed) and  CV Keskus OU filialas is liable for it,  CV Keskus OU filialas shall have the right to cure the breach either by repairing the Service or extending the period of providing the Service. The User shall not be entitled to exercise the remedies as far as  CV Keskus OU filialas has cured the breach or it is still possible to cure the breach.
8.7.  CV Keskus OU filialas may change Conditions of use from time to time without User’s previous consent, publishing the changed Conditions of use in Web medium. The changed Conditions of use apply as from their publication in the Web medium. If User disagrees with the changes in Conditions of use, the User shall have a right to terminate the Agreement within one month as from the publishing of the changed Conditions of use in Web medium, by sending respective written notice to  CV Keskus OU filialas. In case the User fails to terminate the Agreement within the term specified in this clause or the User starts to use the Services or the Webmedium before the elapse of the latter term, the User is considered to have read and accepted the changed Conditions of use. All Services ordered before publishing the changed Conditions of use on the Web medium shall be provided pursuant to the previous Conditions of use and all Services ordered after publishing the changed Conditions of use on the Web medium shall be provided pursuant to the changed Conditions of use.
8.8. Conditions of use and Agreement shall be governed by Lithuanian law.
8.9. Disputes arising from the Conditions of use, the Agreement or the use of Web medium shall be settled by way of negotiations. In case no settlement is reached, the dispute shall be finally settled in Court in Vilnius, the Republic of Lithuania.
8.10. Conditions of use have been composed in the Lithuanian language.  CV Keskus OU filialas has made Conditions of use available also in other languages to facilitate understanding thereof. If the meaning of Conditions of use published in Lithuanian and another language diverge, the Lithuanian text of Conditions of use shall prevail.
